# Are SpaceX and Tesla merging?
Updated 27 Oct 2026 from live prices and SEC filings
Not yet. On 20 October 2026 Elon Musk said SpaceX and Tesla had each formed a special committee of independent directors to consider a merger, but no terms have been agreed. A deal would need approval from both committees and boards, Musk as SpaceX's controlling shareholder, and 50% of all Tesla shares.

## The short answer
There is no merger agreement. On SpaceX's Q3 2026 results call on Tuesday 20 October, Musk said the boards of SpaceX and Tesla had each set up a special committee of independent directors to look at combining the two companies. He said the committees were formed at shareholders' request and had not agreed any terms.
Musk said he thought a merger would be "a good idea" but that calling it a certainty would be "overstating it", and that "the shareholders have to be supportive of this". Because he runs and is the largest individual shareholder of both companies, he said he is a conflicted party and cannot take part in the committees' discussions.
In its quarterly filing on Thursday 22 October, SpaceX said: "No determination by our special committee has been made regarding any potential combination."

## What a deal would need
| Approval | What has been said | Source |
|---|
| SpaceX special committee | No determination made on any potential combination | SpaceX quarterly filing, 22 October |
| SpaceX board | Would have to approve any potential combination | SpaceX quarterly filing, 22 October |
| SpaceX controlling shareholder | Musk's approval required, even though he has stepped back from the talks | SpaceX quarterly filing, 22 October |
| Tesla shareholders | A vote of 50% of all shares, not just those that vote, which Musk called "quite a high hurdle" | Musk on the SpaceX Q3 call, 20 October |
| Regulators | Reviews likely in the US and abroad, including China, where Tesla builds cars | Reuters and CNBC reporting |

The voting maths differs sharply between the two companies. Musk controls SpaceX through 10-vote shares, with almost 80% of the voting power according to CNBC, and SpaceX is a "controlled company" under Nasdaq rules, as its IPO prospectus explains. At Tesla, he beneficially owns 19.8% of the shares according to its latest proxy filing.

## How a deal could be structured
Neither company has announced a structure. According to Reuters, citing people familiar with the talks, both sides have hired advisers but discussions are at an early stage. The options include SpaceX buying Tesla or the two combining under a new holding company, and an all-stock deal is among the ways of paying being considered.
SpaceX is valued at around $2 trillion and Tesla at around $1.5 trillion, so a combination would be the largest merger on record. Reuters described it as a potential $3.5 trillion deal.
The companies already work together. They are building the Terafab chip plant in Texas with Intel, and Tesla's new Roadster was developed with SpaceX technology. Musk has combined his companies before: SpaceX acquired xAI in February 2026, in a deal that valued the combined group at $1.25 trillion.

## Timing
No timetable has been announced. Bloomberg reported, citing people familiar with the matter, that there is a push to announce a deal in the first half of 2027. Reuters reported on 22 October that some insiders worried Musk's public comments could invite shareholder scrutiny and delay the process by several weeks.
Tesla did not add anything on its own Q3 call on 21 October. Musk said: "I think I said everything that should be said yesterday."

## How SPCX has traded
SPCX rose on Wednesday 21 October after Q3 results and the merger comments, then fell 9% on Thursday 22 October, according to CNBC. That was also the day up to 1.3 billion locked-up shares became free to sell; the [SpaceX lockup calendar](https://www.orbitalpha.cloud/spacex-stock/lockup-calendar) has every release and the move on each day.
